Registered Agent - CSC offers registered agent services, which consist of providing a corporation, Limited Partnership, or Limited Liability Company with a registered agent and/or registered office in the state where it is incorporated and the states in which it is qualified to conduct business. CSC provides representation services for the corporation in its domestic state, foreign states, and internationally. As registered agent, CSC is responsible for handling service of process on behalf of the client. CSC also performs changes of agent, the procedure prescribed by statute for changing the registered agent and/or registered office for an existing corporation, Limited Partnership, or a Limited Liability Company.

E-mail notification of Service of Process - CSC offers clients the option of receiving notification of Service of Process via e-mail which includes a brief summary of the legal action. This feature allows clients to receive notification of service of process in real-time, allowing them to begin preparing a response to a legal action before the original documents arrive.

Acknowledgement of Service of Process - CSC clients must acknowledge receipt of process we send to them. Clients who subscribe to CSC's IncSpot Web site and client extranet (www.incspot.com) can acknowledge receipt of process online by simply clicking on the acknowledgement button within IncSpot to indicate that service of process was received.

Case Alerts - Not only can you receive notice of Service of Process via email, but you can also receive alerts of newly filed court cases within 24 hours of filing. You can even track specific cases nation-wide - getting up to the minute information when you need it most. Incorporation - CSC prepares and files the documents required to form a corporation - checking the name for availability, and recording and publishing when necessary.

Qualification - CSC prepares and files the documents necessary to register a corporation to do business in states other than the domestic state. Services include obtaining and filing the supporting documents from the domestic state, checking the name for availability, and recording and publishing when necessary.

Mergers - CSC prepares and files documents for signing by the officer of the corporation and/or files documents relating to a merger. CSC also retrieves supporting documents for merger transactions and will also file/submit tax clearance documents relating to mergers.

Amendments - CSC prepares and files certificates which alter certain articles found within the Certificate of Incorporation.

Withdrawal/Dissolution - CSC prepares and files forms that voluntarily withdraw a corporation from a state or dissolve a corporation, including the request for tax clearance where necessary.

Limited Liability Companies - CSC prepares and files the documents needed to form an LLC, checking the name for availability, and recording and publishing when necessary.

Name Reservation - CSC prepares and files the necessary forms from the state in order to protect a potential corporate name for a short time while the decision is made about whether to use that particular name.

Name Registration - CSC prepares and files the forms necessary to register names in those states where the procedure is recognized for the purpose of protecting the name on an annual basis until it qualifies in additional states.

Limited Partnerships - CSC prepares and files documents to form a Limited Partnership, checking the name for availability, and recording and publishing when necessary.

Limited Liability Partnerships - CSC prepares and files documents to form a Limited Liability Partnership, checking the name for availability, and recording and publishing when necessary.

Corporate Kits - As part of its total corporate service package, CSC offers corporate kits to clients who have formed new corporations. The corporate kit includes a minute book, corporate seal, and stock certificates.

Tax Clearance - CSC requests the necessary tax forms to obtain a tax clearance. Where third party requests are permitted, CSC can obtain the tax clearance certificate for dissolution/withdrawal/merger purposes.

Shelf Corporation - CSC maintains an inventory of pre-formed corporations to be used by a company for tax requirements or for a specific legal transaction.

Name Saver Corporation - A Name Saver corporation is a single purpose corporation organized strictly to protect a corporate name. When used in conjunction with Name Registration, CSC develops an effective name protection program for clients.

Corporate and Limited Partnership Status Reports - CSC will check the exact name, incorporation/qualification date, registered agent information, and good standing status of a corporation and will provide written reports of the findings.

Corporate Status and Verification Searches - CSC will check the exact name, incorporation/qualification date, registered agent information, and good standing status of a corporation.

Franchise Tax Searches - Where third party access is permissible, CSC will search for outstanding tax reports and tax balances for a corporation.

Assumed Name and D/B/A Searches - CSC prepares and files Assumed Name Certificates, which permit a corporation to operate business under a name different from the corporation.

Corporate Staffing - CSC provides officers and directors and executes necessary filings, reports, and minimum taxes to the respective state in association with a Name Saver Corporation.

Forms/Precedents/Outlines - CSC supplies outlines and actual forms for various filings.

Tax Notices - CSC provides tax notices that explain the annual report due dates for a corporation.

Corporate Document Retrieval - CSC retrieves different forms of corporate documentation, such as Certificates of Good Standing, Foreign and Domestic Certificates, Certificates Evidencing Filing, Certificates Evidencing Dissolution, certified copies, corporate verification, assumed business name, and franchise tax searches.

Federal Tax ID Number - CSC obtains applications for the IRS-required ID number, as part of the incorporation process or separately.

Corporate Officer and Director Research - CSC obtains officer/director information from the states that provide such information.

Name Clearance/Availability - CSC performs name clearances and availability checks prior to an incorporation to determine that a corporation with a same or identical name does not exist. This service is performed whenever a new corporation is organized, qualified, or changes its name.

Passive Investment Company Services - Passive Investment Companies are special purpose companies that, if properly structured and operated, can help achieve a variety of corporate objectives including but not limited to minimization of state and local income taxes and franchise or capital stock taxes. They can also be used to improve oversight and protection of intellectual property; gain the benefit of Delaware's large and stable body of corporate law; improve procedures for allocating the cost of capital to members of the corporate group; and bolster compliance with corporate investment policies.

Patent, Trademark and Copyright Searches - CSC offers searches of the U.S. Patent & Trademark Office, all state trademark registries, all relevant trade directories, telephone listings, and available trade name listings. CSC prepares and files applications at the federal and state level. CSC offers searches of the Patent/Trademark/Copyright office files to produce a complete list of Patent/Trademark/Copyright properties owned by a specific individual or company. CSC also searches the Patent/Trademark/Copyright Office records for a listing of assignments and renewals on a particular piece of property.
